Mutual Non-Disclosure & Confidentiality Agreement

This Agreement governs confidential information disclosed by Little Bear Pond and its affiliates (the “Company”) to you (the “Recipient”) in connection with your request to access the Company’s private materials, including information about the Company’s principals, strategy, portfolio, and operations.
“Confidential Information” means all non-public information made available to the Recipient through the Company’s private portal or otherwise, in any form, including the identities of the Company’s principals and personnel, business plans, financial information, prospective and current holdings, methods, and any materials marked or that a reasonable person would understand to be confidential.
The Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) use it solely to evaluate a potential relationship with the Company and for no other purpose; (c) not disclose it to any third party without the Company’s prior written consent; (d) protect it with at least the same care used for the Recipient’s own confidential information; and (e) not attempt to identify, contact, or publicize the Company’s principals or personnel outside the permitted purpose.
Confidential Information does not include information that is or becomes public through no fault of the Recipient, was lawfully known before disclosure, or is independently developed without use of the Confidential Information. The Recipient may disclose Confidential Information if required by law, provided the Recipient gives prompt notice where lawful so the Company may seek protection.
No license or ownership is granted. All Confidential Information remains the Company’s property. Upon request, the Recipient will return or destroy it. This Agreement imposes no obligation on either party to proceed with any transaction. The Recipient’s confidentiality obligations survive for the maximum period permitted by law.
